Its Articles of Incorporation were filed on September 9, 2005. It has no members, and is governed by its Board of Directors. Under its By Laws, adopted on October 10, 2005, the Fund has three to nine directors, with vacancies filled by majority vote of serving directors. The Fund is classed as a tax-exempt Public Charity by the Internal Revenue Service under Section 501(c)3 of the tax code. Accordingly, the Fund is exempt from Federal income tax and contributions to the Fund are tax-deductible by the donor under Section 170 of the tax code. The Fund's By Laws insure compliance with the tax laws to maintain its tax-exempt status and to prevent conflicts of interest of directors, officers or volunteers in its operations. The officers and directors serve the Fund entirely on a volunteer basis. We want as much of the Fund's resources to be applied to supporting our scholarship recipients as possible. With the business experience of our directors we believe the Fund can be administered strictly on a volunteer basis for the foreseeable future.
